F1 - Company Fraud

There have been a number of articles in the financial press relating to the filing of false statutory forms at Companies House, where companies have been ‘hi-jacked’ for use as a potential vehicle for fraud.

It is vital to take all steps possible to protect your company from such fraudulent activity.

A number of companies have been targeted by  individuals who have been submitting statutory forms 287, 288a and 288b to Companies House, appointing themselves as a director of the company and changing the registered office address of the company. Provided that the forms have been correctly completed, Companies House will place this information on the company records.

Companies House is principally a registry for company information and it is therefore not able to verify the content of forms delivered. It is, however, an offence under the perjuries Act 1911 to file false documents on the companies’ register.

The ‘Companies House Monitor’ can alert individuals within 24 hours of documents that have been filed at Companies House. It does this by sending a copy of the document filed by fax. This could help prevent a fraud-taking place and would allow the true directors of the company to correct any false records filed within 48 hours. The cost of the service is £2 per document. Further, information on this is available by e-mailing Companies House at: product@companieshouse.gov.uk.

Companies House offers companies the ability to file certain documents electronically either through the internet or via the WebFiling services.

The Company Law Review in its final report also recommended that a new criminal offence should be created of knowingly or recklessly delivering false information to Companies House. A proposal to provide directors with unique identifiers for use when delivering information was also put forward in the Company Law Review. Both of these proposals are still being considered by the Government.
